Loan Agreements
In the area of bank financing, ELIG attorneys participated in drafting numerous loan documentation with
emphasis on leveraged finance transactions and represented agent
banks in providing senior financing to a large number of borrowers
operating in a variety of industries.
In the area of acquisition financing, our lawyers advised banks
and other lenders, as well as borrowers, on financings for acquisitions,
bridge loans, working capital and general corporate purposes.
ELIG attorneys have vast experience in connection with the standards, principles, forms and requirements
of international financing institutions such as OPIC, IFC and major

Sovereign Lending
ELIG attorneys worked on transactions
providing financing to the Turkish Republic. The terms and structure
of sovereign lending differ in various ways from commercial financing
of private entities requiring specific experience with the Turkish
Treasury.
Tier II Capital To Turkish Banks
Our attorneys' experience includes also working on extension of
subordinated loan facilities to Turkish banks by multinational financial
institutions and major foreign banks.
Structured Finance
In structured finance, our attorneys advised Turkish banks and arrangers on securitization
deals in Turkey including their securitization programs structured on future cash flows.
Non-Performing Loan Sale / Distressed Debt Financing
An example of our attorney's experience is participation on behalf
of international group of investors in Turkey's first and subsequent sale transactions of non-performing
commercial loan portfolio inherited from insolvent banks by the
Savings Deposit and Insurance Fund.
We also represent borrowers and lenders in various distressed debt financing deals. ELIG attorneys actively participate in various deals of debt reorganization for a wide variety of companies including public corporations, corporations under the Financial Restructring Scheme, commonly known as the "Istanbul Approach" etc.
Bankruptcy and Reorganizations
In the area of bankruptcy and reorganizations,
ELIG attorneys have experience in representing
creditors in bankruptcy matters. Turkish bankruptcy laws have undergone
a major change in the recent years, developing its rules regarding
bankruptcy deferrals and reorganizations. ELIG attorneys can assist clients, especially creditors against
bankruptcy estate, in connection with structuring bankruptcy and
claims against the bankruptcy estate.
In addition to domestic bankruptcy and bankruptcy related reorganization
issues, ELIG's US qualified attorneys
have experience in debtor-in-possession financing and Chapter 11
related reorganizations and workouts in the US. We believe that
our knowledge and expertise in US bankruptcy laws and rules greatly
enhances our ability to serve our foreign clients locally in this respect.
